This Agreement consists of Part 1 – Software License and General Terms, and Part 2 – Maintenance and Support Terms. This Agreement is the complete agreement regarding the subject matter hereof, and replaces any prior oral or written communications or agreements between Licensee and Licensor.

BY DOWNLOADING, INSTALLING, COPYING, ACCESSING, CLICKING ON AN “ACCEPT” BUTTON, OR OTHERWISE USING THE PROGRAM, YOU (“LICENSEE” or “CUSTOMER”) AGREE TO THE TERMS OF THIS MASTER LICENSE AGREEMENT. IF YOU ARE ACCEPTING THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT AND WARRANT THAT YOU HAVE FULL AUTHORITY TO BIND SUCH COMPANY OR OTHER LEGAL ENTITY TO THESE TERMS IN WHICH CASE THE TERMS “LICENSEE” OR “CUSTOMER” WILL REFER TO SUCH ENTITY. THE AGREEMENT IS EFFECTIVE AS OF THE DATE YOU ACCEPT THESE TERMS (“EFFECTIVE DATE”).

This Amendment No. 1 (this “Amendment”) is made as of June 20, 2023 (the “Effective Date”) by and between CoinDesk Indices, Inc., a Delaware corporation, having its principal place of business at 250 Park Avenue South, 2nd Floor, New York, NY 10003 (“CDI”), and Grayscale Investments, LLC, a Delaware limited liability company, with an office located at 290 Harbor Drive, Stamford, CT 06902 (“Licensee”). Unless otherwise defined herein, capitalized terms used herein have the meanings specified in or pursuant to the Agreement (defined below).

THIS MASTER LICENSE AGREEMENT (this “Agreement”) is made and entered into this 31st day of October, 2016 (the “Effective Date”) by and between Yum! Restaurants Asia Pte. Ltd., a private limited company organized and existing under the laws of Singapore, having its offices at 99 Bukit Timah Road, #06-00, Singapore 229835 as “master licensee” (for purposes of this Agreement, “Licensor”), and Yum Restaurants Consulting (Shanghai) Company Limited, a company organized under the laws of the People’s Republic of China, having its offices at 16/F Two Grand Gateway, 3 Hongqiao Road, Shanghai, the People’s Republic of China as “master sublicensee” (for purposes of this Agreement, “Licensee”). HCL Technologies Limited a company duly organized and existing under the laws of India and having its registered offices at 806 Siddharth, 96 Nehru Place, New Delhi-110019 (“Licensor” or “HCLT”); and HCL America, Inc., a Delaware corporation with an office at 330 Potrero Avenue, Sunnyvale, CA 94805 (“Licensor” or “HCLA”) (together, HCLT and HCLA are “HCL”); and

This MASTER LICENSE AGREEMENT (“Agreement”) is by and between Envisage Technologies, LLC, with offices at 101 W. Kirkwood Ave., Suite 200, Bloomington, IN 47404 (“Contractor”) and the entity identified within the applicable Order Form (“Client”) (collectively, the “Parties”).

This Master License Agreement (“MLA” or “Agreement”) is hereby entered into by Member and the Physician Assistant Education Association (“PAEA”) (individually a “Party” and together the “Parties”) as of the date it is executed by the Parties (the “Effective Date”).

For purposes of this Agreement, each word or phrase listed below shall have the meaning designated below.
